Larvotto Resources Ltd (ASX: LRV) announced that it has received a confidential, non-binding indicative proposal from United States Antimony Corporation (NYSE: UAMY) to acquire 100% of its issued share capital, marking a potential transformative moment in the global antimony supply chain.
Â
Under the indicative proposal, Larvotto shareholders would receive six UAMY shares for every 100 Larvotto shares, representing a premium to the company’s recent trading prices and its July 2025 capital raise.
Â
USAC, listed on the NYSE American and NYSE Texas exchanges under ticker UAMY, has also acquired around 10% of Larvotto’s issued capital on-market, positioning itself as Larvotto’s largest single shareholder.
Â
Â
The proposed merger would create one of the largest antimony producers outside China, aligning with both Australia’s and the United States’ growing emphasis on critical minerals independence. UAMY is a leading North American processor of antimony, zeolite, and precious metals, operating facilities in Montana, Mexico, and Idaho.
Â
Commenting on the proposal, UAMY Chairman and CEO Gary C. Evans said the move underscores their ambition to establish a world-class player in the critical minerals sector.
Â
Â
The proposal remains subject to negotiation, execution of a binding scheme implementation deed, shareholder approval, and regulatory clearance.
